ARHT RAISES GROSS PROCEEDS OF $2,415,900 MILLION AS PART OF THE TOTAL OFFERING
NOT FOR DISTRIBUTION TO U.S. NEWS WIRE SERVICES OR DISSEMINATION IN THE UNITED STATES
Toronto, ON – January 23, 2019: ARHT Media Inc. (the “Company” or “ARHT”) (TSX-V:ART), the global leader in holographic telepresence, is pleased to announce it has closed the third and final tranche (the “Third Tranche”) of the previously announced non-brokered private placement of units (the “Units”). The Company issued 6,805,556 Units as part of the Third Tranche at a price of $0.09 per Unit for aggregate gross proceeds of $612,500. The total gross proceeds of the Offering (tranches 1, 2 and 3) was $2,415,900 and ARHT issued a total of 26,843,335 Units.
Each Unit consists of one common share of the Company (a “Share”) and one common share purchase warrant (a “Warrant”). Each Warrant entitles the holder thereof to acquire one Share at a price of $0.13 for a period of 36 months following the closing date of the Second Tranche.
The net proceeds from the Third Tranche will be used for general working capital purposes and to acquire equipment related to the business.
The Third Tranche is subject to final approval of the TSX Venture Exchange. The securities issued pursuant to the Third Tranche will be subject to a four month and one day statutory hold period expiring on May 23, 2019. No finder warrants or finder fees were paid in connection with the closing of the Third Tranche.
Certain insiders of the Company have subscribed for Units pursuant to the Second Tranche (the “Insider Participation”). The Insider Participation will be considered to be a “related party transaction” as defined under Multilateral Instrument 61-101 (“MI 61-101”). The Insider Participation is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101.
