Toronto, ON – August 15, 2019 — ARHT Media Inc. (the “Company” or “ARHT”) (TSX-V:ART), a global leader in holographic telepresence, is pleased to announce that the Company is increasing its total non-brokered private placement, which was initially announced on August 2, 2019, from 15,384,615 units to up to 21,538,462 units of the Company, at a purchase price of $0.13 per unit, to raise gross proceeds of up to CDN$2,800,000 (the “Offering”). Each unit will be comprised of one common share of the Company and one common share purchase warrant (a “Warrant”). Each Warrant will be exercisable to purchase one additional common share of the Company at an exercise price of $0.18 per share for a period of three years following the closing of the Offering. If at any time after four months and one day from the closing of the Offering, the common shares of the company trade at $0.50 per common share or higher (on a volume weighted adjusted basis) for a period of 6 consecutive weeks, the Company will have the right to accelerate the expiry date of the Warrants to the date that is 30 days after the Company issues a news release announcing that it has elected to exercise this acceleration right.
The securities underlying the units issued on closing of the Offering will all be subject to a four-month statutory hold period commencing on the date of issuance. The Company may pay finder’s fees in accordance with TSX Venture Exchange policies.
The proceeds from the Offering will be used for sales and marketing activities, general working capital and to retire the $800,000 debenture loan it entered into earlier this year.
The Offering is scheduled to close on or about August 22, 2019 and is subject to certain conditions including receipt of all necessary regulatory approvals, including the approval of the TSX Venture Exchange.
